The Fuse Intelligent Smart Assistant (“FINA”) is an Artificial Intelligence/AI-powered virtual assistant service owned, operated and/or managed by PT Fuse Digital Indonesia and/or any of its group companies and its insurance brokerage partner, PT Pialang Asuransi Indotekno (“Broker Partner”) (hereinafter referred to as “We” or “Us” or “Our”) intended to help You navigate Your business with Us.

By accessing or using FINA, You acknowledge that You have read, understood, and You agree to be bound by these terms and conditions (“FINA Terms and Conditions”) and other terms, policies and guidelines stipulated by Us. These FINA Terms and Conditions constitute a binding agreement between You as the user(s) of FINA service whether or not are registered (“You” or “Your”) and Us.
 
These FINA Terms and Conditions govern the use of the FINA and any and all associated services (“FINA Service”). By using the FINA Service, You acknowledge that You may obtain various information regarding the products and/or services provided by Us from time to time. 

We reserve the right to change the terms and conditions of these FINA Terms and Conditions at any time as We deem fit. Such modifications, variations or changes to the FINA Terms and Conditions shall be effective immediately upon the posting of an updated version of these FINA Terms and Conditions via Our available channel, including without limitation to the App, the Web and/or FINA. You agree that it shall be Your responsibility to review these FINA Terms and Conditions regularly whereupon the continued utilization of the FINA Service after any such changes, whether or not reviewed by You, shall constitute Your consent and acceptance to such changes. 

PLEASE REVIEW THESE FINA TERMS AND CONDITIONS CAREFULLY BEFORE USING THE FINA SERVICE. WHEN YOU DECIDED TO USE THE FINA SERVICE, YOU AGREE AND MUST COMPLY WITH THESE FINA TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE FINA TERMS AND CONDITIONS, PLEASE DO NOT USE AND/OR UTILIZE THE FINA SERVICE.

1. REGISTRATION
   1. To access the full feature of the FINA Service, You may be required to complete the registration process. You understand that for the purpose of such registration, You may be redirected to a third party platform. You agree to be bound by the terms and conditions and/or any privacy policy governing the use of such third party platform.
   2. As part of the registration process, You may be required to complete a verification process, including among others by way of entering the One-Time Password (OTP) code sent to Your registered mobile phone number. You understand that You must register Your own mobile phone number. Any and all consequences arising from the registration or use of another person’s mobile phone number shall be Your sole responsibility, and You hereby releases and holds Us harmless from any and all demands, claims, and/or damages related thereto. In any event, You shall not impersonate any person or entity or otherwise misrepresent Your affiliation with a person or entity.
   3. You are fully responsible for the accuracy and authenticity of all data provided during the registration process. We are not liable to make any independent verification of any data disclosed and/or submitted by You and the accuracy, legality or validity thereof. You provide Us with Your consent for Us to collect and use (whether in its entirety, partial and/or modified/processed/altered) Your personal information, including but not limited to Your name, e-mail address, mobile telephone number and/or any other personal information when You register.
   4. You are solely responsible for maintaining the security of Your mobile phone or device and ensuring that FINA Service is not accessed by unauthorized parties. You are responsible for Your own account and You are solely liable for any misuse of Your account. Only You may use Your own account and You undertake not to authorize others to use Your identity or account. You may not assign or otherwise transfer Your account to any other parties. You must keep Your account password and any identification including but not limited to any OTP, secure and confidential. You shall also take all necessary measures to protect the device from malware or any other threats that may compromise or damage the data stored and used on the device. All consequences and damages resulting from Your negligence in implementing the appropriate security measures shall be Your sole responsibility.


2. TERMS OF USE
   1. You shall not use the FINA Service or any part thereof for any purpose that is unlawful, criminal, or otherwise prohibited under the laws and regulations of the Republic of Indonesia, including but not limited to activities deemed illegal, unauthorized, or contrary to public order and morality.
   2. You represent and warrant that You are an individual legally entitled to enter into a binding agreement under the laws of the Republic of Indonesia (“Law”), in particular the FINA Terms and Conditions, to use the FINA Service, and that You are at least 18 years old and/or have ever been married and not under guardianship, or if the Law requires that You must be older in order to lawfully use the FINA Service without parental consent (including the use of Your personal data) then is at such older age (“Minimum Age”). If You are entering into these FINA Terms and Conditions on behalf of a company, organization, or other legal entity, You represent and warrant that You have the full authority and legal capacity to bind such entity to these FINA Terms and Conditions. Without limiting the generality of the foregoing, We reserve the rights to restrict, prohibit, suspend and/or limit the access or use of the FINA Service and the availability thereof to persons under the Minimum Age or such persons that are forbidden for any reason whatsoever to enter into a contractual relationship.
   3. You authorize Us to collect, use, process, and store (whether in its entirety, partial and/or modified/processed/altered) Your personal information, including but not limited to name, email address, mobile number, and any other data reasonably required for the purpose of registration and/or provision of FINA Service as determined by Us. Where necessary, You may also be asked to provide additional information, including data classified as confidential or sensitive under the Law. You represent that any information submitted and/or disclosed by You is accurate, true, correct, complete and can be relied on for any purpose by any parties, including but not limited by Us and/or Our partners for the purpose of provision of FINA Service. We are not liable to make any independent verification of any data disclosed and/or submitted by You and the accuracy, legality or validity thereof. You agree to protect, hold harmless and indemnify Us from any claims and/or demands whatsoever related to the foregoing. By agreeing to these FINA Terms and Conditions, You have also provided Us with Your consent for Us to disclose Your personal information (whether in its entirety, partial and/or modified/processed/altered), to any parties that cooperated with Us, any party that is engaged/appointed by Us for the provision of the FINA Service, Our vendors, and/or any parties with business relationship or potential business relationship with Us, if necessary.
   4. Where You disclose personal information of third parties to Us, You represent and warrant that (i) You are authorized to provide such personal information to Us and that You have obtained all prior consents necessary under applicable laws and regulations, contract or otherwise to disclose such personal information to Us and for Us to collect, use, access, preserve, disclose and/or process such personal information (whether in its entirety, partial and/or modified/processed/altered) in accordance with these FINA Terms and Conditions, and for FINA Service and/or for the relevant purpose(s) for which You made the disclosure or as was notified to You at the relevant time, as well as for the disclosure thereof by Us to any parties that cooperated with Us, any party that is engaged/appointed by Us for the provision of FINA Service, Our vendors, and/or any parties with business relationship or potential business relationship with Us, including for the protection of Our interest; (ii) disclosure of such personal information is made lawfully and is not in breach of any duty, obligation and/or liability You may have under applicable laws and regulations, contract or otherwise; (iii) any information disclosed by You is accurate, true, correct, complete and can be relied on for any purpose by any parties, including but not limited by the insurance company and/or by Us for the purpose of provision of FINA Service. We are not liable to make any independent verification of any data disclosed and/or submitted by You and the accuracy, legality or validity thereof. You agree to protect, hold harmless and indemnify Us from any claims and/or demands whatsoever related to the foregoing.
   5. Without limiting the generality of the foregoing, in using the FINA Service, You are prohibited to:
      1. Using profanity and/or coarse, pornographic, vulgar and unethical language;
      2. sending spam or otherwise duplicative or unsolicited messages in violation of applicable Law;
      3. Providing and/or sending any material (including but not limited to any image, video, audio, link, and/or documents) that is illegal, inappropriate, vulgar, pornographic, unethical, and/or in breach of intellectual property, Law, applicable rules and regulations, general propriety and/or other’s personal data protection;
      4. Providing and/or sending infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including but not limited to materials harmful to children or violative of third party privacy rights;
      5. Sending any material containing software viruses, worms, trojan horses or other harmful computer code, files, scripts, agents or programs;
      6. Interfering with or disrupting the integrity or performance of the FINA and/or any part of the FINA Service;
      7. Attempting to gain unauthorized access to the FINA Service or its related systems or networks;
      8. Conducting any other action that causes or may cause damages to Us or any other third party;
      9. Conducting any other action in breach of Law and/or general propriety.
   6. You understand and agree that the use of FINA and/or any part of the FINA Service is at all times subjected to and therefore You agree to be bound to (i) the Law and any applicable laws or regulations, whether or not referenced herein; and (ii) any other terms and conditions and/or privacy policy, as determined by Us (and/or relevant third party) from time to time, including but not limited to Our Privacy Policy and the FINA Terms and Conditions For Partner; and (iii) as applicable, any further agreement entered into by You and Us, including any separate partnership agreement that has been entered into by You and PT PIALANG ASURANSI INDOTEKNO and PT FUSE DIGITAL INDONESIA. We are not liable for Your actions which violates or in contradictory with the aforementioned and You shall release and indemnify Us from any liabilities, claims, suits or damage arisen from the foregoing.
3. WARRANTY AND DISCLAIMER
   1. FINA and any part of the FINA Service are provided on an “as is” and “as available” basis. You acknowledge that We have taken all reasonable measures to ensure the security and/or reliability of the FINA Service, notwithstanding, You understand that FINA in particular is an artificial intelligent/AI-powered service and therefore We cannot be held responsible for the accuracy, completeness, propriety, or reliability of any responses, information, or recommendations generated by FINA, unless it can be clearly demonstrated that such error is directly caused by Our unlawful action and/or negligence. You agree to protect, hold harmless and indemnify Us from any claims and/or demands whatsoever related to the foregoing.
   2. We do not make any promises or warranties about the FINA Service and in particular do not warrant or provide any other similar assurance that:
      1. Your use of the FINA Service will be uninterrupted, secure, or error-free or continually be made available;
      2. the FINA Service will be free from loss, corruption, attack, viruses or other malicious, destructive or corrupting code, agent, program, macro or data, interference, hacking, or other security intrusion, or will be accurate, transmitted in uncorrupted form, or transmitted within a reasonable period of time; or
      3. the FINA Service will meet Your requirements, including the accuracy, timeliness, adequacy.
   3. We shall maintain and keep the FINA Service to run smooth and well, to the best of Our reasonable ability. We may, in Our sole discretion and without liability to You, periodically suspend access to or use of the FINA Service, or any portion thereof, or otherwise take the FINA Service, or any portion thereof, out of operation, in order fix software bugs, install updates and do diagnosis and other maintenance. To the best of Our knowledge, We have established an appropriate and reasonable technical and security measures to keep FINA Service secure. However, as reasonably known, We are unable to guarantee further, the security of Our database nor can We guarantee that the information You provide will not be intercepted while being transmitted to Us.
   4. The performance and availability of FINA Service, particularly FINA, may depend on third-party platforms, website, apps and/or services, including WhatsApp, and/or internet connection services, all of which are not operated or controlled by Us. FINA may also generate responses, recommendations and/or provide information from third party sources (including but not limited to other third party services and/or artificial intelligence services/AI-services operated, owned, and/or managed by third parties). Accordingly, We are not responsible for any disruption, delay, error, data loss, breach of security, or any other incident arising from and/or in connection with such third-party services and We are also cannot be held responsible for the accuracy, completeness, propriety, or reliability of any responses, information, or recommendations generated from such third party services.
   5. We are also not liable for any damages and/or consequences arising from events beyond our control (force majeure) including but not limited to natural disasters, government actions, or other circumstances beyond Our reasonable control.
   6. We disclaims any other warranties not expressly stated herein, to the extent permitted by Law.
   
   
4. LIMITATION OF LIABILITIES
   1. UNLESS OTHERWISE EXPRESSLY PROHIBITED BY ANY APPLICABLE LAWS AND/OR REGULATIONS AND SUBJECT TO THE SPECIFIC REMEDIES SET OUT IN THESE FINA TERMS AND CONDITIONS, IN NO EVENT SHALL WE BE LIABLE FOR ANY OF THE FOLLOWING TYPES OF DAMAGES, LOSSES OR EXPENSES: CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, MORAL OR AGGRAVATED DAMAGES; DAMAGES FOR LOSS OF BUSINESS PROFITS OR REVENUES, FAILURE TO REALIZE ANY EXPECTED SAVINGS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, LOSS OF BUSINESS OPPORTUNITY; CORRUPTION OR LOSS OF DATA OR BREACHES OF DATA SECURITY, FAILURES TO TRANSMIT OR RECEIVE ANY DATA, PROBLEMS ASSOCIATED WITH ANY APPLICATIONS USED IN CONJUNCTION WITH THE FINA SERVICE OR RESULTING FROM ANY ALTERATIONS OR ATTEMPTED ALTERATIONS TO THE FINA SERVICE, OR ANY PORTION THEREOF, BY ANYONE; LOSS OF THE USE OF THE FINA SERVICE OR ANY PORTION THEREOF OR ANY FINA SERVICES, PRODUCTS, INFORMATION, DATA, SOFTWARE OR OTHER MATERIAL OBTAINED OR DOWNLOADED FROM OR GENERATED BY FINA OR ANY PART THE SERVICE; DOWNTIME COSTS, COST OF SUBSTITUTE GOODS; COSTS OF COVER, FACILITIES, OR SERVICES; COST OF CAPITAL, OR OTHER SIMILAR PECUNIARY LOSSES, ARISING OUT OF OR RELATED TO THESE FINA TERMS AND CONDITIONS OR THE FINA SERVICE DIRECTLY OR INDIRECTLY, INCLUDING THE USE, INABILITY TO USE, THE PERFORMANCE OR NON-PERFORMANCE OF THE FINA SERVICE, WHETHER OR NOT SUCH DAMAGES, LOSSES OR EXPENSES WERE FORESEEN OR UNFORESEEN, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR EXPENSES. In no event shall We be liable to You, or any other party, for any losses suffered or incurred by You in relation to or arising from: Your use or access and/or the inability to use or access the FINA Service (including any financial charges or other liability incurred in connection therewith).
   2. You shall not raise a claim or complaints in regard to the quality of the FINA Service as it may be impacted by the device being used and/or the performance of third party services including but not limited to WhatsApp service.
   3. We are not liable for Your actions which violates or in contradictory with the terms and conditions as set out under these FINA Terms and Conditions. You shall release and indemnify Us from any liabilities, claims, suits or damage arisen from Your such actions.
   4. In no event shall any officer, director, employee, agent, representative, supplier, or independent contractor of any of Us, have any liability arising from or related to these FINA Terms and Conditions.
   5. We will have the right to investigate and prosecute any violations of the above to the fullest extent it is permitted by the prevailing Laws. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these FINA Terms and Conditions. You acknowledge that We have no obligation to monitor Your access to or use of FINA Service, but We have the right to do so for the purpose of operating the FINA Service, to ensure Your compliance with these FINA Terms and Conditions, or to comply with applicable Law or the order or requirement of a court, administrative agency or other governmental body.


5. INDEMNIFICATION
   By using the FINA Service, You agree that You will defend, indemnify and hold Us, Our licensors, related companies, affiliates, and each of Our officers, directors, commissioners, employees, attorneys and partners harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with: (a) Your violation or breach of any of the FINA Terms and Conditions and/or any applicable laws or regulations, whether or not referenced herein (including without limitation to other terms and conditions stipulated by Us or relevant third parties, Our Privacy Policy, and/or any further agreement entered into by You and Us); or (b) Your violation of any rights of any third party; or (c) Your use or misuse of the FINA Service; or (d) any dispute, or potential dispute, between You and other parties related whether directly or indirectly to the use of the FINA Service and/or the disclosure of any personal information (including third parties’) by You. If You are a company or other legal entity, You agree that You are responsible for, and agree to be bound by, the activities of Your employees, agents and any other persons authorized or purporting to be authorized to access or use the FINA Service on Your behalf. This indemnification obligation will survive the termination of FINA Terms and Conditions and Your use of the FINA Service.


6. MISCELLANEOUS
   
   1. These FINA Terms and Conditions are an integral part of and remain subject to other Terms and Conditions specific to each service provided by Us, as well as the Privacy Policy established by Us from time to time.
   2. Our waiver or forbearance or failure to claim a breach of any provision of these FINA Terms and Conditions or to exercise any right provided by these FINA Terms and Condition or the applicable Laws, may not be deemed to constitute a waiver with respect to any subsequent breach of any provision hereof.
   3. These FINA Terms and Conditions are drawn up in both English and Indonesian language, both of which versions will be binding on You and Us. In the event of any inconsistency between the Indonesian language version and the English version, the Indonesian language version will prevail.
   4. You may not transfer or assign Your rights under these FINA Terms and Conditions, without Our prior written approval. We may assign Our rights under these FINA Terms and Conditions to a third party at Our sole and absolute discretion.
   5. We may promote or offer products, services, or programs from Us or Our partners to You through FINA whenever We deem necessary.
   6. We reserve the right, at Our sole discretion, to suspend or terminate Your access to the FINA Service, in whole or in part, at any time, with or without notice, if You are found to be in breach of these FINA Terms and Conditions, violates applicable laws, or engages in conduct that may harm Us, Our affiliates and/or partners, or other users.
   7. If any term under these FINA Terms and Conditions is held to be invalid or unenforceable, in whole or in part, under any enactment or rule of law, the term or part of it will, to that extent, be deemed not to form part of these FINA Terms and Conditions but the legality, validity or enforceability of the remainder of these FINA Terms and Condition will not be affected.
   8. These FINA Terms and Conditions are governed by and to be construed under the Law. Any and all disputes arising between Us and You shall be resolved amicably and only when from such amicable ways unable to find resolutions, such dispute should be brought to the Indonesia National Arbitration Board (BANI) in Jakarta.
   9. Should any dispute or potential dispute, arises between You and other parties related whether directly or indirectly to (i) the use of the FINA Service and/or the disclosure of any personal information (including third parties’) by You hereunder, and/or (ii) these FINA Terms and Conditions, You are not allowed to independently enter into any settlement or resolution over such dispute if such settlement or resolution imposes or may impose any obligation and/or liability to Us. This provision shall survive the termination of these FINA Terms and Conditions.
   10. You acknowledge that these FINA Terms and Conditions shall constitute as a valid and binding agreement between You and Us and therefore will not challenge the validity thereof before any authority and/or in any jurisdiction, or attempt to do so.
   11. These FINA Terms and Conditions may be modified, varied and changed from time to time without the need to give notification before to You. We may, but not obliged to, notify You through the FINA, variations and/or changes to the FINA Terms and Conditions. The continued use of the FINA Service by You after such modification, variation and changes constitute Your consent to and acceptance of the modifications, variations, and/or changes.
   12. Any and all service provided by Us through FINA are fully supported and facilitated by PT Pialang Asuransi Indotekno as Our Broker Partner, an insurance brokerage company that is officially registered and has obtained a license from the Financial Services Authority (Otoritas Jasa Keuangan) as an insurance brokerage company.


7. SUBMISSION OF COMPLAINT AND/OR NOTICES
   Except as otherwise provided in these FINA Terms and Conditions, all notices, complaints or other communications hereunder shall be deemed to have been duly given when made in writing and delivered in person or by courier or deposited in the mail, postage prepaid, registered mail or its equivalent, return receipt requested, and addressed to You at the address supplied to Us by You, or addressed to below (in the case of Us).

   In addition to the foregoing, We may, at Our option, give You any notice under these FINA Terms and Conditions electronically. Electronic notice to You shall be deemed to have been duly given when transmitted through FINA or to an email address furnished by You to Us or in the manner We may prescribe from time to time.
